1. Acceptance of terms

By creating an account, purchasing a subscription, or using any product or service offered by New AI Stack (“we,” “us,” or “our”) at https://newaistack.com, you agree to these Terms of Service (“Terms”). If you do not agree, do not use our services.

If you are using our services on behalf of a company or organization, you confirm that you have authority to bind that entity to these Terms.

2. Description of services

New AI Stack provides cloud-based software products and subscriptions, including but not limited to:

• AI agents and autonomous workflow tools
• RAG-based (retrieval-augmented generation) applications
• AI automation and integration software
• Intelligent web and mobile application platforms
• Related APIs, dashboards, and hosted features

Services are delivered digitally. Features, plans, and availability may change over time as we improve and update our products.

3. Account registration and security

To access certain features, you must create an account with accurate and complete information. You are responsible for:

• Keeping your login credentials confidential
• All activity that occurs under your account
• Notifying us promptly of any unauthorized access

We may suspend or terminate accounts that contain false information or violate these Terms.

4. User responsibilities

When using our services, you agree that you will not:

• Use the services for unlawful, harmful, fraudulent, or abusive purposes
• Attempt to reverse engineer, scrape, overload, or disrupt our systems
• Upload or process content that infringes intellectual property or violates applicable laws
• Share account access in a way that exceeds your subscription limits

• Circumvent usage limits, billing controls, or security measures

You are solely responsible for the inputs you provide to our AI features and for how you use the outputs in your business or products.

5. Subscriptions and payments

Billing

Paid plans are billed on a recurring subscription basis (monthly or annually, depending on the plan you select) unless stated otherwise at checkout. Prices are shown before purchase and may exclude applicable taxes.

Payment processors

Payments are processed by trusted third-party providers such as Paddle, Stripe, or Lemon Squeezy. We do not store full payment card details on our servers. Your use of those payment services is also subject to their respective terms and privacy policies.

Renewals and price changes

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We may change pricing for future billing periods with reasonable notice. Continued use after a price change constitutes acceptance of the new price.

Failed payments

If a payment fails, we may retry the charge, restrict access to paid features, or suspend your subscription until payment is resolved.

6. Service availability

We work to keep our services reliable and secure, but we do not guarantee uninterrupted or error-free operation. Services may be temporarily unavailable due to maintenance, updates, third-party outages, or events outside our reasonable control.

AI-generated outputs may be inaccurate or incomplete. You should review outputs before relying on them for important decisions. Our services are provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.

7. Intellectual property

Our property

New AI Stack owns all rights in our software, branding, documentation, designs, and underlying technology. These Terms do not transfer any ownership rights to you.

Your content

You retain ownership of content and data you submit to the services. You grant us a limited license to host, process, and display that content solely to operate and improve the services for you.

License to use the service

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable license to access and use our software for your internal business purposes during your subscription term.

8. Confidentiality and data

Our collection and use of personal data is described in our Privacy Policy. By using the services, you acknowledge that policy.

9. Termination

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation stops future renewals; access typically continues until the end of the current paid billing period unless otherwise stated.

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay applicable fees
• Create security, legal, or operational risk for us or other users

Upon termination, your right to use the services ends. Sections that by nature should survive (including intellectual property, limitation of liability, and governing provisions) will remain in effect.

10. Limitation of liability

To the maximum extent permitted by applicable law, New AI Stack and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities arising from your use of the services.

Our total liability for any claim related to the services will not exceed the amount you paid to us for the services in the twelve (12) months before the event giving rise to the claim.

11. Indemnification

You agree to defend and hold New AI Stack harmless from claims, damages, and expenses arising from your misuse of the services, your content, or your violation of these Terms or applicable law.

12. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will post the updated version on this page and update the “Last updated” date. Continued use of the services after changes become effective constitutes acceptance of the revised Terms.

13. General provisions

These Terms constitute the entire agreement between you and New AI Stack regarding the services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of that provision.

These Terms are intended to be globally applicable. Where local law grants you mandatory rights that cannot be waived, those rights remain unaffected.
